Stowit’s Terms and Conditions

Information about Stowit

These terms and conditions (the “Terms”) apply to the services described under the section Service below, which Stowit AB (556700-9179) (“Stowit”, “we”, “us”, “our”) provides to our customers (“you”, “your”). Stowit makes it easy for limited company owners of companies with low or no activity to manage necessary company administration. We do this by offering a web-based service (the “Service”) to our customers.

Acceptance of the Terms

To use the Service, you must first accept the Terms. You provide your acceptance via the Service when you register an account.

Changes to the Terms

We reserve the right to change the Terms at any time. We will notify you by email of such changes that are not insignificant and which will affect you. We will then inform you that it is important to object if you do not accept the changes. If we do not receive such an objection within thirty (30) days after the changes are notified, we will assume that you accept them. The latest version of the Terms is available on the Website.

Definitions

”Features”

Refers to the Website, your Account and the Service together.

”Website”

Refers to our website (www.stowit.se).

”Account”

Refers to the account that you register and create via the Website.

”Contact Details”

Refers to the information stated above under the section Contact information.

”Privacy Policy”

Refers to our Privacy Policy (www.stowit.se/integritetspolicy) which describes how we as data controller process personal data.

”Service”

Refers to the Service described under the section Service below and which is made available via the Website or via https://app.stowit.se/.

Service

Description of the Service

We provide customers with a web-based platform that handles administrative requirements for limited companies with low or no activity, including but not limited to: annual report, K10 tax return, INK2 tax return, VAT reporting, annual general meeting minutes, certificate of approval, employer’s declaration and ongoing bookkeeping.

Create an Account

To access the Service, you must first create an Account. You may only register and be the holder of one (1) Account. However, you can have an unlimited number of limited companies linked to the same Account.

Your obligations

Customers

We offer the Service to limited companies. You may not enter into an agreement about the Service or use the Features (except the Website) if you are under eighteen (18) years old. To use the Service, you need to be authorized to represent the limited company managed by the Service.

Use of the Features

When you use the Features, you must always comply with applicable laws, regulations, government regulations and the Terms. You may only use the Service for its intended purpose and not for any other purpose. You may not use the Features in any way that conflicts with our, or any third party’s, rights or interests. You undertake to follow all instructions that you receive from us from time to time.

You are responsible for all activities you perform on the Account. Login credentials to the Account must always be stored securely. It is forbidden to share information about the Account with third parties and to transfer the Account to third parties. If you suspect that the Account or your login credentials are being used by a third party, you must contact us immediately through the Contact Details.

You are responsible for, in accordance with Swedish accounting laws, archiving your accounting for at least seven (7) years. This applies to all receipts, documentation and other supporting documents as well as tax returns and annual reports.

If you provide incorrect, inaccurate, outdated or incomplete information when you create the Account, we have the right to reject your application and to close the Account. If you or your registered limited company suffer legal, financial or personal consequences as a result of you having misused the Service, Stowit completely disclaims responsibility here. This also applies if you do not comply with the Terms or other mandatory rules or if we have reason to suspect that you are using the Service for other than the agreed purpose or that unauthorized persons have gained access to the Account. Should such an event occur, we will deactivate your Account and delete all associated data generated through your use of the Service.

Price, payment and notice period

Price

All prices are stated in Swedish kronor excluding VAT, unless otherwise stated. The Service is completely free until you have accepted the customer offer, which is an explicit event that you perform and which occurs as part of the process of adding your company to Stowit’s platform. The prices apply to each individual limited company for which you choose to accept the customer offer.

Additional bookkeeping activities (such as handling outgoing and incoming invoices, various types of purchases and ongoing costs) cost 99kr each. You will be informed of the cost and need to explicitly approve the cost before the case is carried out.

The Service requires current and updated bookkeeping for each company registered on the Service. If you need help with historical bookkeeping, an additional cost will apply. The cost for this depends on the scope of work required to update the company’s bookkeeping. You will be informed of the cost and need to explicitly approve the cost before the case is carried out.

Payment

When you have accepted a customer offer, the cost of the Service is charged monthly in arrears. We charge via invoice that will be sent to an email address that you specify in the Service.

Notice period

Stowit provides the Service completely without notice/commitment period. You have the right to terminate and cancel the Service at any time. When you cancel the Service, a final charge will occur as follows:

Stowit reserves the right to terminate the customer agreement with you at any time with immediate effect. If this occurs, you will be informed of this via email and all data connected to you and any registered companies will be deleted or anonymized, with the exception of such information that we are obliged to retain according to law.

Termination of the Account

You can terminate and delete the Account at any time by visiting the “Settings” page when you are logged into the Service. We will then delete or anonymize all personal information about you that is in connection with the Account, with the exception of such information that we are obliged to retain according to law.

Third-party services as part of the service

Sometimes we use services and/or products from third-party suppliers. These suppliers act outside our control and we are not responsible for any damages caused due to an action or omission attributable to such a supplier.

Errors and delays outside our control (force majeure)

We are not responsible for delays and errors outside our control. If our suppliers are delayed due to an event outside our control, we will notify you of this as soon as possible and take measures to minimize the damage of the delay. If we have fulfilled this responsibility, we are not responsible for errors and delays caused by the event.

Personal data

Stowit is the data controller for your personal data that needs to be processed for us to be able to offer and provide the Features. We process your personal data in accordance with our privacy policy.

Intellectual property rights

Our rights

The Website and Service are owned and administered by Stowit. All copyrights, trademarks, trade names, logos and other intellectual or industrial rights held or used by us as well as those included in our Features (including titles, graphic images, icons, scripts, source codes, etc.) are our own, or another licensor’s, property and may not be reproduced, distributed, sold, used, modified, copied, restricted or used (in whole or in part) without our written consent. Stowit has the right to analyze customer data generated on the Service in order to improve the Service and user experience.

Respect for our property

You may not, for any purpose, manipulate, attempt to gain unauthorized access to, modify, hack, repair or otherwise adjust any of our materials, hardware, source codes or information.

Respect for our intellectual property rights

The Features and other information, including all associated intellectual property rights, provided and made available by us constitute our exclusive property. You may not use our exclusive property for any commercial purpose or for any other purpose without our written consent.

Applicable law

Swedish law shall apply to the Terms and our legal relationship in general.

Complaints and disputes

If you have any complaints, please contact our support through the Contact Details. We will always try to resolve your complaints in the first instance through discussions between you and our support. In the event of a complaint or dispute, however, you always have the right to contact the Swedish National Board for Consumer Disputes.

Disputes regarding the interpretation and application of these Terms shall be resolved by the Swedish National Board for Consumer Disputes or by a competent court.
